	Terms and Conditions*
	The terms and conditions for membership of Webster Buchanan's Multi-country Payroll Club (referred to here as "the MCP Club" or "the Club") are set forth below. By checking the box below, you agree that if your application for membership is approved, these terms will govern the agreement between you and Webster Buchanan Research Ltd of Suite 361, 2 Lansdowne Row, London W1J 6HL, United Kingdom (referred to as "Webster Buchanan"). 1. Membership Profile Membership of the Club is open to individuals with an express interest in multi-country payroll, by invitation from Webster Buchanan. Decisions on membership, including offers of membership, membership acceptance and number of Members, are at Webster Buchanan's sole discretion. 2. Annual Membership Benefits and Member Commitments 2.1 Research reports and other content Members have access to research reports, video, information sources and other content that Webster Buchanan elects to make available to Club Members from time to time. By joining the Club, Members agree to make themselves reasonably available (at a minimum of one hour per quarter) to Webster Buchanan's analysts to discuss their experiences and perspectives, either 'on the record' or on an unattributable basis. 2.2 Collaborative Network Webster Buchanan is developing a collaborative network, which will be made available to Members during the course of 2009. Some resources will be made available to all Members. Others may be made available on the basis of member participation or other criteria: for example, Members may be asked to share their own experiences on a particular topic in order to get access to the information contributed by other Members. Through this network, Members also have the ability to communicate with other Club Members. By joining the Club, Members agree to create a Member Profile (“Profile”). The Profile is designed to present a brief overview of the Member's multi-country payroll plans, current challenges etc. The profile may be edited by Webster Buchanan. Profiles will remain online throughout the membership contract and may be updated whenever appropriate, and may remain accessible for reference after membership has terminated. Notwithstanding anything to the contrary herein, Webster Buchanan has the sole discretion in determining what content, including without limitation Member Profiles, is made available through the network or the Club's website. 2.3 Priority and discounted access to seminars and other optional services Webster Buchanan offers a number of additional services to Members on an optional basis, and there is no obligation whatsoever on the part of Members to sign up for any of these services. These services include: (a) Exclusive Member-only events (b) Priority booking for public workshops and web seminars. Members are given advance notice of workshops and web seminars, with an opportunity to sign up before general public marketing begins. (c) Discounted fees for workshops and seminars. Club Members receive a discount equal to at least 10 per cent of the full retail price: the precise discount will be displayed on the Webster Buchanan website when each seminar is marketed. Seminar attendance is priced in Pounds Sterling for attendees from the UK and includes Value Added Tax: in euros for attendees from euro currency countries; in Singapore Dollars for attendees from Singapore; and in US dollars for attendees from the United States and all other countries. (d) Discounts on Webster Buchanan’s paid-for research reports (e) Discounted access to selected services available through Webster Buchanan’s Global Payroll Concierge (“Concierge”), including confidential one-to-one sessions with Webster Buchanan analysts, consultants and/or experienced multi-country payroll practitioners. Discounts for Concierge services are made available at Webster Buchanan’s sole discretion 3. Contract Term Membership will begin only on approval of your membership application by Webster Buchanan, and lasts for twelve months from the date of approval. It is renewable on an annual basis by invitation from Webster Buchanan. 4. Financial Terms Annual membership of the Club is currently offered free of charge. Webster Buchanan reserves the right to charge annual membership fees at a future date, but guarantees that no annual membership fees will be charged prior to December 1st 2009. Members who have already signed up prior to December 1st 2009 will not be charged a fee for the duration of their twelve month contract 5. Intellectual Property 5.1 Webster Buchanan shall own all right, title and interest in and to any and all content, material, text, designs, copyrights, trade secrets, trademarks, patents and any other intellectual property or proprietary rights created by or on behalf of Webster Buchanan in connection with the Club, including but not limited to the Club website and any content resulting from web seminars, case studies and research reports, including any audio, visual, electronic or digital components thereof, and such shall be the sole and exclusive property of Webster Buchanan except to the reasonable extent that its use and disclosure by you is permitted under this Agreement. Webster Buchanan shall own all right, title and interest in the Club content, as well as any extensions, modifications, compilations and derivative works thereof. To the extent the Club content (or any other materials or content that is provided by Webster Buchanan) is provided by Webster Buchanan to you under this Agreement, Webster Buchanan hereby grants you a non-exclusive, non-transferable, worldwide limited license to use it solely for your own personal purposes in connection with your membership in the Club during the term of this Agreement; provided however, you shall not sell, resell, license, sublicense, transfer, distribute, publish, or otherwise use the content contrary to the express license rights granted you hereunder. No other rights with respect to the Club content (or any other materials or content that is provided by Webster Buchanan) are granted hereunder. 6. Confidentiality You shall keep all activities relating to the Club (including without limitation the Club Members' information, Profiles and content) confidential. You shall not disclose the details of any Club proceedings or discussions or content circulated within the Club (collectively referred to as “Confidential Information”) without the written permission of Webster Buchanan. Also you shall not disclose the names of any Club Member to non-Members without written permission from both the Member and Webster Buchanan. Except by operation of law, Webster Buchanan shall not disclose to non-members any confidential information relating to you that is disclosed during Club proceedings without the prior written approval of you or your representative (except individuals or organizations contracted by Webster Buchanan to deliver Club and Forum services under the terms of a confidentiality agreement), provided that such confidential information is appropriately marked or designated as such as to apprise Webster Buchanan of its confidential nature. Notwithstanding the confidentiality terms above, you agree that Webster Buchanan has the right to draw from its experiences in Club activities to generate content for its research and other activities, provided that, except by operation of law, the disclosure of such content by Webster Buchanan shall not release to non-members the identity of Club Members with respect to such content. 7. Warranty and Indemnity You represent and warrant that in contributing to or participating in any Club activity, event, discussion or Club Content, you shall not: libel, slander or defame any Club Member or third-party; publish, disclose or reveal any confidential or proprietary information of any Club Member or third-party; violate or infringe any rights, including intellectual property rights, of any Club Member or third-party; otherwise violate any applicable law, statute or contract. You further represent and warrant that the execution and performance by you of this Agreement will not violate any law, statute or other governmental regulation, and will not violate any other agreement to which you are a party. You shall indemnify and hold harmless Webster Buchanan, its affiliates, and its and their directors, officers, employees, agents, successors and assigns against any and all judgments, settlements, liabilities, damages, claims, penalties, costs and expenses (including reasonable attorneys' fees) paid or incurred in connection with claims by any third party which are attributable to your performance or breach of this Agreement. 8. Termination of Agreement This Agreement may be terminated by either party immediately for a material breach. To the extent Webster Buchanan terminates this Agreement due to your material breach hereof, there shall be no refund of any sums paid to Webster Buchanan. Webster Buchanan has the right to terminate your membership at any time for any reason, provided (i) it refunds any unused prorated fees paid by you hereunder and (ii) such termination was not based on your material breach hereof. 9. Disclaimer Webster Buchanan is not responsible for any errors or omissions in the information or content provided by Webster Buchanan as part of the Club's activities or Member services, or for the results obtained from the use of such information or content. You assume the entire risk of the accuracy of such content and/or information. Webster Buchanan is not responsible for information provided by or opinions expressed by Club Members or any third parties invited to participate in Club or related activities. Members participate in all Club and related activities on the strict understanding that Webster Buchanan is not engaged in rendering professional advice and services of any description. As such, the Club should not be used as a substitute for consultation with professional advisers. All information is provided “as is,” with no guarantee of completeness, accuracy, timeliness, or of the results obtained from the use of this information and without warranty of any kind, express or implied, including but not limited to warranties of performance, merchantability and/or fitness for a particular purpose. In no event will Webster Buchanan, its affiliates, and its and their directors, officers, employees, agents, successors and assigns, be liable to anyone for any decision made or action taken in reliance on information provided in the Club or related activities or for any indirect, incidental, consequential, special, or exemplary damages of any nature or kind whatsoever, including but not limited to lost profits or other economic loss related thereto, even if Webster Buchanan was aware of such damages. 10. Relationship of the Parties The parties acknowledge that nothing in this Agreement shall be construed so as to constitute a partnership, relationship of principal/agent or a joint venture. Neither party is an agent of the other, and neither party is authorized to waive or incur, assume or create any debt or obligation of any kind in the name of or on behalf of the other. You shall be responsible for filing all tax returns and paying all taxes, contributions and losses incurred by you, if any, pertaining to this Agreement. 11. Links to Third Party sites The Club may provide, or third parties may provide, links to other Web sites or resources. Webster Buchanan may have no control over such sites and resources and you acknowledge and agree that Webster Buchanan is not responsible for the availability of such external sites or resources, and does not endorse, and is not responsible or liable for any content, advice, products, services, or other materials on or available from such sites or resources, and shall not be responsible or liable, directly or indirectly, for any damage or loss caused in connection with use of or reliance on any such content, advice, products, services or any other materials. 12. Service Interruptions The benefits referred to through the Club are provided on an “as available” basis. Webster Buchanan makes no warranties, express or implied under this agreement, including without limitation that any online services and materials will be complete or free from errors or free from service interruptions whether caused by website downtime or for any other reason. 13. General Provisions 13.1 Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all other agreements, promises, representations and negotiations, whether written or oral, between the parties regarding the subject matter of the Agreement. All modifications to this Agreement, and waivers thereof, shall be in writing and signed by both parties. 13.2 Governing Law This Agreement shall be governed by and construed under the laws of the United Kingdom. The parties hereto agree that jurisdiction and venue for all actions arising from this Agreement shall be London, United Kingdom, and you agree to submit to such jurisdiction. 13.3 Legal Fees In any action hereunder, the prevailing party shall be awarded its reasonable attorneys' fees and costs. 13.4 Severability If one section or part of this Agreement is found to be void or unenforceable, it shall not alter the legality or effect of the remaining sections of this Agreement.
